DIGITAL SERVICES AGREEMENT

Website Design, Hosting, Domain & Email Services

This Digital Services Agreement (“Agreement”) is entered into as of the date of signature (“Effective Date”) by and between:

Service Provider:
Snyder IT Strategies LLC (“Provider”)

and

Client:

(“Client”)

1. SERVICES PROVIDED

Provider agrees to deliver the following services:

1.1 Website Design

Creation of a single-page website
Mobile-responsive layout
Standard sections (e.g., Home, Services, About, Contact)
Basic contact form functionality

1.2 Domain & Hosting

Domain registration and/or DNS configuration
Website hosting services
SSL certificate setup

1.3 Email Services

Business email account(s) as defined in selected package
Basic email setup and access instructions

1.4 Ongoing Maintenance

Minor website updates (see Section 6)
Annual subscription renewal

2. FEES & PAYMENT TERMS

2.1 Setup Fee

Client agrees to pay a one-time setup fee of: $499

Work will not begin until payment is received.

2.2 Annual Renewal of Subscriptions

Client agrees to pay: $142.00 per year

Includes hosting, maintenance, and renewal labor.

2.3 Payment Method

Payments will be automatically billed via credit card or ACH.
Failure to maintain a valid payment method may result in service suspension.

3. CLIENT RESPONSIBILITIES

Client agrees to:

Provide all required content (text, images, logo) in a timely manner
Ensure all submitted content is accurate and legally owned
Respond to requests for feedback within 48 hours

Delays in providing content may delay project completion.

4. PROJECT TIMELINE

Typical delivery timeline is approximately 5–7 business days, contingent upon timely client responses and content submission.

5. REVISIONS

One (1) round of revisions is included.
Revisions are limited to:
- Text edits
- Image swaps
- Minor layout adjustments

Additional revisions or major changes will be billed at: $75/hour

7. DOMAIN & HOSTING OWNERSHIP

Domains may be registered on Client’s behalf but managed by Provider.
Hosting infrastructure is owned and managed by Provider.
Access to backend systems is not guaranteed unless otherwise agreed.

8. TERMINATION

8.1 By Client

Client may cancel at any time with 30 days written notice.

8.2 By Provider

Provider may suspend or terminate services for:

Non-payment
Abuse or misuse of services
Violation of this Agreement

8.3 Upon Termination

Website may be taken offline
Domain transfer assistance may be provided upon request
Website files are not guaranteed to be transferable

9. REFUNDS

Setup fees are non-refundable once work has begun.
Monthly fees are non-refundable once billed.

10. LIABILITY LIMITATION

Provider shall not be liable for:

Loss of business, revenue, or data
Website downtime beyond reasonable control
Third-party service failures (hosting, email, domain registrars)

Total liability is limited to fees paid in the prior 3 months.

11. CONTENT RESPONSIBILITY

Client is solely responsible for:

Accuracy of all content
Compliance with laws and regulations
Copyright ownership of images and text

12. INTELLECTUAL PROPERTY

Website design remains the property of Provider until full payment is made.
Upon payment, Client is granted a license to use the website.
Provider may reuse templates, layouts, and design elements.

13. COMMUNICATION

All requests must be submitted via email or approved communication channel.
Response time is typically 1–2 business days.

14. FORCE MAJEURE

Provider is not liable for delays caused by events beyond reasonable control, including but not limited to:

Natural disasters
Internet outages
Third-party service failures

15. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.

16. ACCEPTANCE

By signing below, both parties agree to the terms outlined in this Agreement.
